New Domestic Company registration

  1. Photograph (For Bhutanese he/she should have an up-to-date passport size photograph dressed in national attire with white background) and the signatures (Signature is required to be the format of an image with a the background white) of all Directors, CEOs or Applicant as well as Witness stored on the drive.
  2. All the CID numbers of above mentioned persons and valid police clearance certificate (SCC) number from SCC system to be verified online at http://www.cra.gov.bt.
  3. Application must be submitted using the company’s email address for an online submission.
  4. Applicant must supply Paid-up capital with face value and authorise capital, shareholding pattern, number. of the Board of Directors Address of Registered Offices (Dzongkhag, Gewog, Village and Postal Address) on the registration form.

For Domestic Business that is already operating to incorporation of a company

  1. Photograph (For Bhutanese he/she should have an up-to-date passport size photograph with a white national dress background) and the signatures (Signature must be recorded in the format of an image with a an white backdrop) of all Directors, CEOs or Applicant as well as Witness stored on an external drive.
  2. All the CID numbers of above mentioned persons and valid police clearance certificate (SCC) number from SCC system to be verified online at http://www.cra.gov.bt.
  3. The applicant should use their email address of the company for an online submission.
  4. The applicant must provide the capital paid-up with face value and authorise capital, shareholding pattern number. of the Board of Directors and Registered office address (Dzongkhag, Gewog, Village and Postal Address) on the application form.
  5. Bank Details of the company’s account.
  6. A letter asking for NOC from all financial institutions lending to the public (BoB, BNB, TBL, DPNB, RICB, BIL, BDBL, NPPF) (scanned version as PDF).
  7. The most recent Audited balance sheet (Scanned version available in pdf). OR
  8. The most recent statements of financials (unaudited) with a Text approval certificate issued by DRC for the last 1 year(Scanned version as PDF).
  9. Valid licenses that are currently in use to be integrated (Scanned copies in PDF).

The INVESTOR’S INDIVIDUAL FOREIGN INVESTOR will be required to upload:

  3. Joint Venture Agreement between the investors/Shareholders(Scanned copy in PDF).

  2. All the CID numbers of above mentioned persons and valid police clearance certificate (SCC) number from SCC system to be verified online at http://www.cra.gov.bt.
  3. Application must be submitted using the company’s email address for an online submission.
  4. Applicant must supply Paid-up capital with face value, the authority to use capital, shareholding pattern and no. of the Board of Directors Address of Registered Offices (Dzongkhag, Gewog, Village and Postal Address) on the application form.
THE FORIEGN INSTITUTIONAL INSVESTOR will need to download the following documentation:
  1. Notarized Passports of all investors/authorized persons – Notarized with a an authorized Public Notary (Scanned copies to upload).
  2. Joint Venture Agreement between the investors/Shareholders (Scanned copy to be uploaded).
  3. Certificate of FDI Certificate (Scanned version to upload)
  4. Notarized certificate of incorporation of the foreign investment companyNotarized by a an authorized public notary.
  5. Notarized copy of the Articles of Incorporation of the foreign investor corporation. Notarized by a licensed public notary.
  6. Resolution passed by the shareholder’ meeting for the INstitutional investor confirming that the company’s decision to make an investment in Bhutan.

Eligibility

More than two people who are the age of 18 and who wish to register an organization as a business under the Companies Act of the Kingdom of Bhutan 2016.

Fees

  • Private Limited Company: Nu.7000 (one time fee, non-refundable) i.e Nu.2000 represents name registration fees, and Nu.5000 is incorporation fees.
  • The Public Limited Company is Nu.10,000 (one one-time Non-Refundable fee)i.e Nu.2000 represents name registration fees. Nu.8000 is incorporation fee.

Anyone may form a business by submitting Articles of Incorporation and otherwise following the requirements in the Companies Act, 2016 in regards to incorporation.

Validity

The certificate is valid until revoked, cancelled by law or corporate actions initiated by company officials/stakeholders in keeping with provisions of Companies Act of BHutan, 2016.

Processing Time

The process can be completed in 3 working days. However, when the documents aren’t complete It could take a maximum of 7 working days.

Instructions

Registration forms must be filled out and processed by the Registry of Companies, Ministry of Economic Affairs via an online application on www.cra.gov.bt. The payment process can only be done on the internet using a domestic bank account or number.
