Documents Required Register an Existing Company

  • The registration form must be completed.
  • The original citizenship identification card of the promoters must be submitted to the Company Registry Division, Department of Industry at the time of applying and supporting documents to register an entity in accordance with the Companies Act of the Kingdom of Bhutan.
  • Form as per Part I in the Companies Act of the Kingdom of Bhutan 2000.
  • Consent to serve as directors of the business given by the directors who were the first to sign it as per the form provided in the Schedule II of the Companies Act of the Kingdom of Bhutan 2000.
  • A declaration made by director or directors in the format that is provided within Section II in the Companies Act of the Kingdom of Bhutan.
  • Sectoral clearances from the concerned sector as well as the an industrial licence number.

What are all the Eligibility

A minimum of two citizens that are the age of 18 and wish to establish a company in accordance with the Companies Act of the Kingdom of Bhutan 2000.

Fees

The owners of the company must pay Nu. 1,000 if their authorized share capital isn’t greater than Nu. 1,000,000 , Nu. 1500 If your authorized capital falls between Nu. 1,000,000 and Nu. 200 000 and Nu. 2000 for authorized share capital that exceeds Nu. 2,000,000.
