Required Documents For Register an Existing Company 

  • The registration form must be completed.
  • The original citizenship identification card of the promoters must be submitted to the Company Registry Division, Department of Industry at the process of submitting an application and the necessary documents for the registration of companies in line with the Companies Act of the Kingdom of Bhutan.
  • Form as per Section I, of Companies Act of the Kingdom of Bhutan 2000.
  • Consent to serve as Director of the Company and signed by the initial directors as per the form provided in the Schedule II of the Companies Act of the Kingdom of Bhutan 2000.
  • A declaration made by one or directors in the format as specified on the Schedule II in the Companies Act of the Kingdom of Bhutan.

Eligibility

A minimum of two citizens that are 18 years old and wish to incorporate an existing business as per the Companies Act of the Kingdom of Bhutan 2000.

Fees

The owners of the company must pay Nu. 1,000 if their approved share capital does not more than Nu. 1,000,000 , Nu. 1500 If you have a share of capital that is between Nu. 1,000,000 and Nu. 200 000 and Nu. 2000 for authorized share capital that exceeds Nu. 2,000,000.
